1. Who you are contracting with
The Telos service is provided by:

"Telos", "we", "us" mean Telos Foundry ApS. "You" and "Customer" mean the organization that signs up and the individual accepting these terms on its behalf.
2. Acceptance
By creating an account, accepting an invitation, or using any part of the Telos service, you agree to these Terms of Service, our Privacy Policy, and the Data Processing Agreement, which together form the agreement between you and Telos. If you are accepting on behalf of an organization, you confirm you have authority to bind that organization.
The service is offered to businesses, organizations, and individuals acting in a commercial or professional capacity. It is not directed to consumers as defined in the EU Consumer Rights Directive (2011/83/EU) or the Danish Forbrugeraftaleloven. By accepting these Terms, you confirm that you are acting in such a capacity.
3. The service
Telos is a product management tool. We provide hosted software for documenting vision and strategy, capturing customer insights, evaluating opportunities, planning projects, and tracking the work that follows. The service is delivered as multi-tenant SaaS.
We may change, add, or remove features. We give the account owner at least 30 days' email notice before removing a feature in a way that materially affects paying customers. If a removal means content you created would no longer be accessible, we will provide an export path before we delete it.
4. Accounts and eligibility
- You must be at least 16 years old and able to enter a binding contract.
- You confirm that you are using the service for business, professional, or organizational purposes, and not as a consumer.
- You are responsible for safeguarding your password and any actions taken under your account.
- You must notify us promptly of any unauthorized use of your account.
- Owners of an organization can invite, manage, and remove members at their discretion.
5. Your content is yours
You and your organization retain ownership of all content you upload to, create in, or transmit through Telos ("Customer Data"). We process Customer Data only to run the service for you and as instructed by you and your authorized administrators.
You grant Telos a worldwide, non-exclusive, royalty-free licence to host, copy, transmit, and display Customer Data solely to provide, maintain, and support the service for you. We will not use Customer Data to train any model, ours or anyone else's. We will not sell it.
6. AI and bring-your-own-LLM
Telos does not host a language model. When you connect a provider via your API key, the following apply.
- Your account, your bill. Token costs are charged to the provider account you connect. Telos does not mark up, resell, or proxy these charges.
- Your contract with the provider governs the model. Prompt content, completions, and provider-side retention are controlled by your agreement with that provider.
- Outputs. AI-generated content produced through Telos belongs to you, to the extent the underlying provider grants such rights. You are responsible for reviewing AI output before relying on it.
- No warranty on AI output. AI outputs can be wrong, biased, or misleading. Telos provides no warranty as to their accuracy, completeness, or fitness for purpose.
7. Acceptable use
You agree not to:
- Use the service in violation of any law or third-party right.
- Upload malware, attempt to breach security, or probe the service for vulnerabilities outside a coordinated disclosure programme.
- Use the service to harass, defame, or unlawfully process personal data of others.
- Resell, sublicense, or expose the service to third parties as if it were your own product without a written agreement with Telos.
- Scrape or extract data via automation at a rate intended to degrade service for other customers.
8. Fees, billing, and refunds
Subscription fees, billing cycle, and the renewal date for your plan are set at checkout and visible in your billing settings. Fees are billed in advance, in the currency shown at checkout. Subscriptions renew automatically at the end of each billing period for a further period of the same length, at the then-current price, unless you cancel before the renewal date. You can cancel from billing settings at any time; cancellation takes effect at the end of the current paid period. Fees are non-refundable except where required by law or where we materially fail to provide the service.
Danish VAT is added where applicable. For EU customers outside Denmark, we apply the reverse charge mechanism where eligible. For customers outside the EU, the local tax rules of your jurisdiction apply.
We may change subscription prices for existing customers with at least 30 days' email notice to the account owner. If you do not accept the change, you can cancel before it takes effect.
If, despite Clause 2, you qualify as a consumer under mandatory law of your country of residence, you have a 14-day right of withdrawal from the date of subscription. Because the service is a digital service that begins immediately on signup, you expressly request that performance begin within the 14-day window and acknowledge that you lose the right of withdrawal once Telos has begun providing the service, in line with Article 16(m) of the Consumer Rights Directive.
9. Cancellation and termination
You may cancel your subscription at any time from billing settings. On cancellation, your workspace remains fully accessible through the end of the paid period. Export anything you want to keep before then. After the paid period ends, content is deleted as described in the Privacy Policy.
We may suspend or terminate accounts that violate these terms, fail to pay, or pose a security or legal risk. Where reasonable, we will notify you in advance and give you an opportunity to fix the issue.
10. Uptime, support, and changes
We aim to keep the service available and to respond to support requests promptly. We will give reasonable advance notice of planned maintenance where we can.
11. Warranties and disclaimer
We provide the service with reasonable skill and care. Beyond that, the service is provided "as is" and "as available" without further warranty of any kind, express or implied, including merchantability, fitness for a particular purpose, or non-infringement.
12. Limitation of liability
To the maximum extent permitted by law, Telos' aggregate liability arising out of or related to the service in any 12-month period is limited to the fees you paid to Telos in that period. Telos will not be liable for indirect, incidental, consequential, special, or punitive damages, including lost profits, lost revenue, or loss of data, even if advised of the possibility.
Nothing in these terms limits liability for fraud, wilful misconduct, gross negligence, or any liability that cannot be excluded under Danish or EU law.
13. Indemnity
You will defend and indemnify Telos against third-party claims arising from your Customer Data, your use of the service in violation of these terms, or your violation of applicable law.
14. Confidentiality
Each party will protect the other's confidential information using at least the same care it uses for its own, and will not disclose it except to personnel and contractors bound by confidentiality obligations.
15. Changes to these terms
We may update these terms. Material changes go to account owners by email at least 30 days before they take effect. Continued use after the effective date means you accept the updated terms.
16. Governing law and disputes
These terms are governed by the laws of Denmark, without regard to its conflict of laws rules. Disputes arising out of or in connection with these terms are subject to the exclusive jurisdiction of the Copenhagen City Court (Københavns Byret), subject to mandatory consumer protections that apply in your country of residence.
